Terms of Service

These Terms of Service govern your access to and use of the Flux website and platform. By creating an account or using the Services, you agree to them on behalf of yourself and the organisation you represent.
This document is a general template provided for informational purposes. Have it reviewed by qualified legal counsel before relying on it as your production agreement.
1. Accounts and eligibility
You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that happens under your workspace, including that of the teammates you invite.
2. Plans, trials and billing
Paid plans are billed monthly or annually in advance and renew automatically until cancelled. Free trials convert to a paid plan only if you choose to subscribe. Fees are exclusive of taxes, which we add where required.
Meta charges conversation-based fees for messages sent through the WhatsApp Business Platform. Flux passes those charges through at cost. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current period and fees already paid are non-refundable except where the law requires otherwise.
3. Acceptable use
You agree not to use the Services to:
- Send unsolicited messages, spam or any communication that violates the WhatsApp Business Messaging Policy or Meta Platform Terms.
- Message people who have not given you a lawful basis to contact them, or who have opted out.
- Distribute malware, run phishing campaigns or attempt to gain unauthorised access to any system.
- Upload unlawful, defamatory, infringing or harmful content, or content that violates anyone’s privacy.
- Reverse engineer, resell or copy the Services except as expressly permitted.
- Exceed rate limits, circumvent quotas or interfere with the integrity of the platform.
We may suspend or terminate a workspace that violates these rules, with notice where practicable and immediately where the violation risks harm to users, to Flux or to our platform partners.
4. Your data and ownership
You retain all rights to the content you and your customers submit through the Services. You grant Flux a limited licence to host, process and transmit that content solely to provide the Services and as instructed by you. Flux retains all rights to the platform itself, including its software, design, trademarks and documentation.
You are responsible for having the legal right to process the personal data you upload, for providing any required notices to your own customers, and for honouring their rights and opt-outs.
5. Third-party platforms
The Services depend on the availability of Meta’s WhatsApp Business Platform, Instagram and Messenger APIs. Those platforms set their own rules, pricing, quality ratings and messaging limits, and may change or suspend access. Flux is not responsible for outages, policy changes, template rejections, number quality downgrades or account restrictions imposed by a third-party platform.
6. Availability and support
We target 99.9% monthly uptime, excluding scheduled maintenance announced in advance and events outside our reasonable control. Support channels and response targets depend on your plan. Any service-level commitments and credits, where offered, are set out in a separate service-level agreement.
7. Disclaimers
Except as expressly stated, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or that they will produce any particular business result.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Flux’s aggregate liability arising out of or relating to the Services is limited to the fees you paid to Flux in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
9. Termination
You may close your account at any time. We may suspend or terminate the Services for material breach, non-payment or legal risk. On termination your right to use the Services ends immediately; you may export your data for 30 days, after which we delete it in line with our Privacy Policy.
10. Changes and governing law
We may update these Terms; material changes take effect 15 days after we notify you. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the courts located there, except where mandatory local consumer law provides otherwise.
